We refer to the announcements made on 22 March 2021, 23 March 2021 and 30 March 2021 in relation to the Proposed Private Placement (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 31 March 2021, approved the listing and quotation of up to 104,675,000 Placement Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:

(i) KAB and TA Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;

(ii) KAB and TA Securities to inform Bursa Securities upon the completion of the Proposed Private Placement;

(iii) KAB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and

(iv) KAB to furnish Bursa Securities with a certified true copy of the resolution passed pursuant to Sections 75 and 76 of the Companies Act 2016, in the event the current authority has expired.
