On behalf of the Board of Directors of THB (“Board”), M&A Securities Sdn Bhd wishes to announce that the Company had made an offer vide letter dated 14 April 2021 (“Offer Letter”) to Enfrasys Consulting Sdn Bhd (“ECSB”) to acquire from ECSB a total of 400,000 ordinary shares representing 40% equity interest in ESSB for a total purchase consideration of RM20,000,000 (“Purchase Consideration”) to be satisfied by the issuance of 20,000,000 ordinary shares in THB (“THB Share(s)” or “Consideration Share(s)”) at an issue price of RM1.00 per Consideration Share (“Issue Price”) (“Proposed Acquisition”) (“Offer”).

Pursuant to the above, ECSB has on the even date accepted the Offer.

Detailed terms and conditions of the Proposed Acquisition will be made available upon execution of the Definitive Agreements.
