MTOUCHE - Notice of Rights Entitlement (Ratio)

RENOUNCEABLE RIGHTS ISSUE OF UP TO 794,374,098 NEW ORDINARY SHARES IN MTOUCHE TECHNOLOGY BERHAD ("MTOUCHE" OR THE "COMPANY") ("MTOUCHE SHARES" OR "SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.10 PER RIGHTS SHARE TOGETHER WITH UP TO 397,187,049 FREE DETACHABLE WARRANTS IN MTOUCHE ("WARRANTS D") ON THE BASIS OF 6 RIGHTS SHARES TOGETHER WITH 3 FREE WARRANTS D FOR EVERY 1 EXISTING SHARE HELD BY THE ENTITLED SHAREHOLDERS OF THE COMPANY AT 5.00 P.M. ON 5 MAY 2021 ("RIGHTS ISSUE WITH WARRANTS")
 

Kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted “Ex- Right Issue” as from: 4 May 2021
2)    The last date of lodgment : 5 May 2021

3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct<6/7>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <6/7>, of the Transacted Price is applicable.

Remarks:-  The Abridged Prospectus together with the notice of provisional allotment and rights subscription form pursuant to the Rights Issue with Warrants (collectively, the "Documents") will only be despatched to the shareholders of the Company whose names appear in the Company's Record of Depositors as at 5.00 p.m. on 5 May 2021("Entitled Shareholders") and who have a registered address in Malaysia or who have provided the Share Registrar, ShareWorks Sdn Bhd, with a registered address in Malaysia in writing by 5.00 p.m. on 5 May 2021.

The Documents are not intended to (and will not be made to) comply with the laws of any country or jurisdiction other than Malaysia, and are not intended to be (and will not be) issued, circulated or distributed in countries or jurisdictions other than Malaysia and no action has been or will be taken to ensure that the Rights Issue with Warrants complies with the laws of any country or jurisdiction other than the laws of Malaysia.

Entitled Shareholders who do not have a registered address in Malaysia for the service of documents and wish to provide a Malaysian address, should inform their respective stockbrokers to effect the change of address by 5.00 p.m. on 5 May 2021.
