(Unless otherwise defined, terms used in this announcement shall carry the same meanings as set out in the previous announcements dated 12 April 2021 and 13 April 2021 in relation to the Proposals (“Announcements”))

We refer to the Announcements in relation to the Proposals.

On behalf of the Board of Directors of GDB, Alliance Investment Bank Berhad ("AIBB") wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, vide its letter dated 21 April 2021, approved the following:-

1. Listing and quotation of 312,500,000 new ordinary shares to be issued pursuant to the Proposed Bonus Issue of Shares;

2. Admission to the Official List and listing and quotation of up to 250,000,000 Warrants to be issued pursuant to the Proposed Bonus Issue of Warrants; and

3. Listing and quotation of up to 250,000,000 new ordinary shares to be issued arising from the exercise of the Warrants.

The approval granted by Bursa Securities is subject to the following conditions:-

1. GDB and AIBB must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”) pertaining to the implementation of the Proposals;

2. GDB and AIBB to inform Bursa Securities upon the completion of the Proposals;

3. GDB and AIBB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed;

4. Written confirmation by GDB and AIBB that the terms of the Warrants are in compliance with Paragraphs 6.54(3) of the Listing Requirements;

5. GDB and AIBB are required to make the relevant announcements pursuant to Paragraphs 6.35(2)(a)&(b) and 6.35(4) of the Listing Requirements, in relation to the Proposed Bonus Issue of Shares;

6. GDB is required to furnish Bursa Securities on a quarterly basis a summary of the total number of new ordinary shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of the listing fees payable; and

7. Incorporation of Bursa Securities’ comments in respect of the draft circular to shareholders.
