ADJUSTMENTS TO THE NUMBER OF OUTSTANDING WARRANTS 2019/2022 IN TA WIN HOLDINGS BERHAD ("TA WIN") ("WARRANTS") AS CONSTITUTED BY THE DEED POLL DATED 17 APRIL 2019 AND THE EXERCISE PRICE OF THE WARRANTS PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 3,106,101,171 NEW ORDINARY SHARES IN TA WIN ("TA WIN SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.06 PER RIGHTS SHARE ON THE BASIS OF 3 RIGHTS SHARES FOR EVERY 1 EXISTING TA WIN SHARE HELD BY THE ENTITLED SHAREHOLDERS AT 5.00 P.M. ON 6 MAY 2021 ("RIGHTS ISSUE") ("ADJUSTMENTS")

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 05 May 2021
2)  The last date of lodgment : 06 May 2021
 

Remarks : 

The notice of book closure in relation to the Rights Issue had been announced by Ta Win separately today. Holders of outstanding Warrants ("Warrant Holders") who wish to be entitled to the Rights Issue should exercise their rights to subscribe for new Ta Win Shares by lodging their duly completed exercise forms together with the subscription monies with Ta Win's share registrar, Securities Services (Holdings) Sdn Bhd, on or before 5.00 p.m. on 23 April 2021. This is to enable the new Ta Win Shares arising from such exercise to be allotted to the respective Warrant Holders such that their names will appear in the Record of Depositors as at 5.00 p.m. on 6 May 2021. The Warrant Holders who have not exercised their outstanding Warrants and whose names appear in the Record of Depositors for the outstanding Warrants as at 5.00 p.m. on 6 May 2021 would be entitled to the Adjustments. Fractional entitlements arising from the Adjustments, if any, will be disregarded. The additional Warrants will be listed and quoted simultaneously with the Rights Shares. The notice to Warrant Holders setting out the details of the Adjustments to the Warrants and the notice of allotment of additional Warrants will be despatched to the Warrant Holders in due course.
