Pursuant to Paragraph 9.28(3) of the Main Market Listing Requirements (“MMLR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”), the Company wishes to announce that the Company is unable to issue its Annual Report that includes the annual audited financial statements together with the auditors’ and directors’ reports in respect of the financial period ended 30 November 2020 (“AFS”) (“Annual Report”) by 30 April 2021 (“Timeframe”), being the last day of the automatic 1-month extension period for the issuance of annual reports granted by Bursa Securities vide its letter dated 17 February 2021 as one of the additional temporary relief measures due to COVID-19.

The delay is due to the implementation of the Movement Control Order 2.0 by the Malaysian Government as well as the prolonged pandemic situation globally. The issuance of the Annual Report is impeded by the issuance of the AFS, which is affected by the movement restrictions imposed in both Malaysia and Cambodia. The movement restrictions had impeded the audit work of both the local auditor and Cambodian component auditor that is auditing one of the Company’s subsidiaries, namely, Canteran Apparel (Cambodia) Co., Ltd., located in Cambodia.

JCB’s Management is actively undertaking measures with both external auditors to expedite the audit process and the completion of the AFS for inclusion in the Annual Report. The Company had on 15 April 2021 submitted a request to Bursa Securities for an extension of time till 15 June 2021 for the issuance of the Annual Report. The Company is still awaiting the decision of Bursa Securities on the said request. If such request is approved, JCB shall then issue its Annual Report no later than 15 June 2021.

JCB is aware that pursuant to Paragraph 9.28(5) of the MMLR, if it fails to issue the Annual Report within five (5) market days after the expiry of the Timeframe i.e., by 7 May 2021 (“Suspension Deadline”), in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend trading in the securities of JCB. The suspension shall be effected on the next market day after the Suspension Deadline i.e., on 10 May 2021, and will only be uplifted on the market day following the issuance of the outstanding Annual Report, unless otherwise determined by Bursa Securities.
