We refer to the announcements made on 19 January 2021, 20 January 2021, 8 March 2021, 7 April 2021, 9 April 2021 and 23 April 2021 in relation to the Corporate Exercises (“Announcements”) as well as the circular to shareholders of Bioalpha dated 15 March 2021 in relation to the Corporate Exercises (“Circular”). Unless otherwise defined, the definitions set out in the Announcements and Circular shall apply herein.
On behalf of the Board, TA Securities wishes to announce that the Board has on 27 April 2021, resolved to fix the following:
(i) Conversion Price of RM0.22 for 272,000,000 Placement ICPS, which is at a premium of RM0.0256 or 13.17% to the 5D-VWAP up to and including 26 April 2021 (being the last trading day prior to the price-fixing date for the Placement ICPS) of RM0.1944; and
(ii) issue price for 272,000,000 Placement ICPS at RM0.02 each.
The Placement ICPS may be converted into new Bioalpha Shares based on the following conversion modes:
(1) Cashless Conversion – by surrendering 11 Placement ICPS for conversion into 1 new Bioalpha Share; or
(2) Cash Conversion – by surrendering 1 Placement ICPS and cash payment of RM0.20 for conversion into 1 new Bioalpha Share.
For information purposes, the Placement ICPS and Rights ICPS shall form a single series of ICPS.
