The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcement in relation to the Notice.

We refer to the announcement dated 11 March 2021 and 18 March 2021 in relation to the Notice.

The Board of Directors of Asdion wishes to inform that the Company has received a letter from the Offeror dated 28 April 2021 in accordance with Paragraph 16.01(2) of the Rules on Take-Over, Mergers and Compulsory Acquisitions, the Proposed Debts Settlement and Proposed Placement are actions or decisions that will effectively result in Offeror Notice of Voluntary Take-Over Offer to acquire all ordinary shares in Asdion ("Offer") being frustrated.

Accordingly, in the event that the shareholders of Asdion approve either one of the two (2) proposals; i.e. either the Proposed Debt Settlement and/or Proposed Placement, the Offeror will make an application to the Securities Commission Malaysia for its consent to withdraw the Offer.
