The Board of Directors of Manforce Group Berhad ("the Company") wishes to announce that the wholly-owned subsidiary of the Company, Manforce Resources (M) Sdn Bhd has on 3 May 2021 incorporated the following subsidiary:-

(hereinafter referred as “the Incorporation of Subsidiary”)

The principal activity of the abovementioned subsidiary of the Company is as follows:-

Manforce Ezpay Sdn Bhd will apply for relevant approvals and license required to undertake Money Lending Services from the relevant authority(ies) before commencing its business.

The Incorporation of Subsidiary will not have material effect on the earnings per share, net assets or gearing of the Company for the financial year ending 30 September 2021.

None of the Directors or Major Shareholders or persons connected to the Directors or Major Shareholders has any interest, direct or indirect, in the aforesaid corporation.

The incorporation of Subsidiary does not require the approval of shareholders of the Company.

The Board of Directors of the Company, after having taken into consideration the Incorporation of Subsidiary, is of opinion that the Incorporation of Subsidiary is in the best interest of the Company.
