The Board of Directors (“Board”) of AYER wishes to announce that following the announcement made by Senior Minister (Security) Datuk Seri Ismail Sabri Yaakob on 4 May 2021 in relation to the Movement Control Order imposed on six districts in Selangor (effective from 6 May 2021 up to 17 May 2021) and on Kuala Lumpur (effective from 7 May 2021 up to 20 May 2021) to contain the COVID-19 outbreak, the 110th Annual General Meeting (“AGM”) of the Company which was scheduled to be held on Tuesday, 11 May 2021 at 2.00 p.m. will be postponed to a later date to be determined in due course.

The Board will continue to monitor the evolving situation of COVID-19 in Malaysia before fixing the new AGM date as the safety of our shareholders, advisers and staff who will be attending the forthcoming 110th AGM is of paramount importance to the Company.

Besides that, on 26 February 2021, AYER announced that the Board had recommended a first and final dividend of 4.1 sen per ordinary share for the financial year ended 31 December 2020 subject to the approval of the shareholders at the 110th AGM ("Proposed First and Final Dividend"). On 9 April 2021, AYER had further announced the entitlement and payment dates of the Proposed First and Final Dividend.

However, due to the postponement of the 110th AGM and as the AGM date remains uncertain, the Board has resolved to reclassify the Proposed First and Final Dividend to an Interim Dividend. All details in connection with the dividend (quantum together with the payment and entitlement dates) shall remain the same. The reclassification of dividend to Interim Dividend is to provide certainty as to the payment date, which does not require approval of shareholders at AGM.
