ADJUSTMENT TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2015/2025 OF JOE HOLDING BERHAD ("JOE" OR THE "COMPANY") ("WARRANTS A") IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 24 APRIL 2015 CONSTITUTING THE WARRANTS A (''DEED POLL A'') PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 2,249,237,340 NEW ORDINARY SHARES IN JOE (''JOE SHARES'' OR ''SHARES'') (''RIGHTS SHARES'') AT AN ISSUE PRICE OF RM0.05 PER RIGHTS SHARE TOGETHER WITH UP TO 1,349,542,404 FREE DETACHABLE WARRANTS IN JOE (''WARRANTS B'') ON THE BASIS OF 5 RIGHTS SHARES TOGETHER WITH 3 FREE WARRANTS B FOR EVERY 5 EXISTING SHARES HELD BY THE ENTITLED SHAREHOLDERS OF THE COMPANY AT 5.00 P.M. ON 23 APRIL 2021 (''RIGHTS ISSUE WITH WARRANTS'') (''ADJUSTMENTS'')
Pursuant to the Adjustments, (i) the existing number of 490,243,800 Warrants A has been adjusted into 611,774,754 Warrants A, whereby the additional 121,530,954 Warrants A will be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad on 28 May 2021; and (ii) the exercise price of the Warrants A has been revised from RM0.10 to RM0.06. The additional Warrants A were issued based on the entitlement ratio of 0.2479:1 (additional Warrants A: existing number of outstanding Warrants A held as at the entitlement date). The notice to the holders of Warrants A (setting out the details of the Adjustments) was despatched on 25 May 2021. This announcement is dated 27 May 2021.
