We refer to the announcement by VS dated 25 February 2021 and our announcement dated 8 June 2021 pertaining to the issuance of up to 768,315,246 free warrants in VS on the basis of one free Warrant for every five existing ordinary shares held in VS (“Shares”).
Although the Warrants are theoretically in-the-money as of the last market day on which the Shares are traded on a cum-entitlement basis, in accordance with Condition 6 of the Deed Poll dated 26 October 2020, the terms and conditions of VS-C51 shall not be adjusted as the adjustment results in less than 2% of the Exercise Price or Exercise Ratio being changed.
