Reference is made to the announcement by THB on 28 May 2021 of the Notice of the 43rd AGM of the Company which was scheduled to be held at Dewan Bungaraya, Level 2, WP Hotel, 362, Jalan Tuanku Abdul Rahman, 50100 Kuala Lumpur on 30 June 2021 at 10:00a.m..

On 28 May 2021 the Prime Minister’s office had announced the implementation of a Full Movement Control Order (“FMCO”) lockdown in phases with the initial phase of a nationwide total lockdown starting from 1 June 2021 to 14 June 2021 and the FMCO was further extended to 28 June 2021 as announced by the Government on 11 June 2021.

The Companies Commission of Malaysia ("SSM") had on 1 June 2021 issued a Practice Directive No. 8/2021 for affected companies with financial year ended 1 November 2020 to 31 January 2021 to apply for an extension of time to hold AGM for a period of 90 days in accordance with the powers under Section 340(4) of the Companies Act 2016.

In view of the convening of the 43rd AGM is no longer feasible during the FMCO period or until such time permissible by the National Security Council or other Government Authorities, the Board of Directors of THB has decided to defer the 43rd AGM to a later date which will be notified in due course.

The Company has applied and on 24 June 2021 been granted an extension of time by SSM to hold the 43rd AGM of the Company on or before 28 September 2021 in accordance with Practice Directive No. 8/2021 and Section 340(4) of the Companies Act 2016.

The Board will continue to monitor the situation of Covid-19 in Malaysia before fixing an appropriate date for the 43rd AGM of the Company which will be determined and announced in due course.
