HEADS OF AGREEMENTS IN RELATION TO THE:-

(I)	PROPOSED ACQUISITION BY OCR OF EQUITY INTEREST IN STACK BUILDER SDN BHD ("STACK BUILDER") AND PROPOSED SETTLEMENT OF SHAREHOLDERS' ADVANCES OWING BY STACK BUILDER; AND

(II)	PROPOSED ACQUISITION BY OCR OF EQUITY INTEREST IN WONDERLAND PROJECTS SDN BHD ("WONDERLAND") AND PROPOSED SETTLEMENT OF SHAREHOLDERS' ADVANCES OWING BY WONDERLAND

(For consistency, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the announcement dated 9 April 2021 in relation to the Stack Builder Proposals and Wonderland Proposals, where applicable, unless stated otherwise or defined herein.)

 

Reference is made to the earlier announcement in relation to the Stack Builder Proposals and Wonderland Proposals dated 9 April 2021.

 

The Board wishes to announce the Company had on 9 July 2021 entered into the following heads of agreements, which shall supersede the earlier heads of agreements entered into on 9 April 2021:-

 

(i)         heads of agreements between OCR, OKH and TCH for the Stack Builder Proposals; and

 

(ii)         heads of agreements between OCR and Wonderland Vendors for the Wonderland Proposals.
