(Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the earlier announcements dated 28 April 2021 in relation to the Proposals)
Reference is made to the Company’s announcements dated 28 April 2021 in relation to the Proposals (“Original Announcement”). On behalf of the Board, M&A Securities wishes to announce that:
(a) the Company has resolved to reduce the issuance size of the Proposed Private Placement to 114,567,500 Bintai Shares; and
(b) the Company has on 29 July 2021 entered into a supplemental subscription agreement with OUD (“Supplemental Subscription Agreement”) to vary the terms of the Subscription Agreement in relation to the number of RCPS to be issued pursuant to the Proposed Issuance of RCPS. As a consequence, the issue size of the Proposed Issuance of RCPS has been reduced to 190,946,000 RCPS.
Further details of the revision to the terms of the Proposals (“Variations”) are set out in the attachment enclosed.
