PDZ - Notice of Rights Entitlement (Ratio)

Further to Reference No.   ILC-19082021-00008 , kindly be advised of the following :

RENOUNCEABLE RIGHTS ISSUE OF UP TO 797,746,170 NEW ORDINARY SHARES IN PDZ HOLDINGS BHD ("PDZ" OR THE "COMPANY") ("PDZ SHARES" OR "SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.14 PER RIGHTS SHARE TOGETHER WITH UP TO 265,915,390 FREE DETACHABLE WARRANTS IN THE COMPANY ("WARRANTS C") ON THE BASIS OF 6 RIGHTS SHARES TOGETHER WITH 2 FREE WARRANTS C FOR EVERY 1 EXISTING SHARE HELD BY THE ENTITLED SHAREHOLDERS OF THE COMPANY AT 5.00 P.M. ON 1 OCTOBER 2021 ("RIGHTS ISSUE WITH WARRANTS")

1)    The above Company’s securities will be traded and quoted  “Ex-Rights Issue” as from: 30 Sep 2021 (Instead of 1 Sept 2021) 
2)    The last date of lodgment : 1 Oct 2021 (Instead of 2 Sept 2021) 
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct<6/7>, of Selling Price against the Selling Client (Remain unchanged)
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client (Remain unchanged)
       c)    Between Broker and Broker, the deduction of <6/7>, of the Transacted Price is applicable. (Remain unchanged)

Remarks:- Reference is made to the earlier announcement dated 18 August 2021.

The Board wishes to extend the Entitlement Date by 20 market days i.e. from 2 September 2021 to 1 October 2021 in order to provide more time for investors to consider their participation in the Rights Issue with Warrants, taking into consideration the latest developments on the COVID-19 situation in the country which currently remains at a critical level.

The Abridged Prospectus together with the notice of provisional allotment and rights subscription form pursuant to the Rights Issue with Warrants (collectively, the "Documents") will only be despatched to the shareholders of the Company whose names appear in the Company's Record of Depositors as at 5.00 p.m. on 1 October 2021 ("Entitled Shareholders") and who have a registered address in Malaysia or who have provided the Share Registrar, Securities Services (Holdings) Sdn Bhd, with a registered address in Malaysia in writing by 5.00 p.m. on 1 October 2021.

 The Documents are not intended to (and will not be made to) comply with the laws of any country or jurisdiction other than Malaysia, and are not intended to be (and will not be) issued, circulated or distributed in countries or jurisdictions other than Malaysia and no action has been or will be taken to ensure that the Rights Issue with Warrants complies with the laws of any country or jurisdiction other than the laws of Malaysia.

 Entitled Shareholders who do not have a registered address in Malaysia for the service of documents and wish to provide a Malaysian address, should inform their respective stockbrokers to effect the change of address by 5.00 p.m. on 1 October 2021.

Holders of Warrants B who wish to be entitled to the Rights Shares with Warrants C must exercise their Warrants B into new Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar, Securities Services (Holdings) Sdn Bhd, on or before 5.00 p.m. on 17 September 2021. This is to enable the new Shares arising from such exercise to be allotted to the respective holders of the Warrants B such that their names will appear on the Record of Depositors of the Company by 5.00 p.m. on 1 October 2021.
