JADE MARVEL GROUP BERHAD (“JMGB” OR “COMPANY”)

-               INCORPORATION OF A NEW WHOLLY-OWNED SUBSIDIARY

1.             INTRODUCTION

The Board of Directors of JMGB (“Board”) wishes to announce that the Company has incorporated a new subsidiary under the Companies Act 2016 known as Jadem Medical Sdn Bhd (“JMSB”) on 1 September 2021 (“the Incorporation”).

2.             INFORMATION ON THE INCORPORATION

                2.1          Information on JMSB

The intended principal activity of JMSB is involved in provision of hospital services. The directors and shareholder of JMSB are as set out below:-

                2.2          Rationale of the Incorporation

The Incorporation is mainly to facilitate the expansion of new business activities of the Group to the medical and health sector. The Incorporation will enhance and expand the Group’s revenue base and source.

                2.3          Financial Effects of the Incorporation

The Incorporation is not expected to have any material effect on the earnings and net assets of the JMGB for the financial year ending 31 March 2022.

                2.4          Interest of Director and Major Shareholder and Persons Connected with Them

None of the Directors and/or major shareholders of JMGB and/or persons connected to them have any interest, whether direct or indirect, in the Incorporation.

                2.5          Statement of Directors

The Board is of the opinion that the Incorporation is in the best interest of the JMGB Group.
