Unless otherwise stated, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the Company’s announcements dated 29 December 2020 (Reference Number: GA1-29122020-00074) (“Announcement1”), 15 January 2021 (Reference Number: GA1-15012021-00088) (“Announcement2”), and 02 February 2021 (Reference Number: GA1-02022021-00081) (“Announcement3”) respectively in relation to the Subscription.

Further to Announcement1, Announcement2 and Announcement3, the Board of Directors of CRG wishes to inform that on 27 September 2021, CRI and the existing shareholders of CHSB (now known as Carzo Holdings Berhad, “CHB”) had entered into a termination agreement (“T-Agmt”) for the purpose of recording the termination of the SH-Agreement in accordance with the terms of the SH-Agreement as reproduced in item 12 of Announcement2, in which the SH-Agreement should be automatically terminated and lapsed and be of no further effect following the receipt by CHB of the approval from Bursa Malaysia Securities Berhad for its admission to the official list on the LEAP Market of Bursa Malaysia Securities Berhad on 13 August 2021 (“Bursa Approval”). For information purpose, CHB was listed on the LEAP Market of Bursa Malaysia Securities Berhad on 9 September 2021.

Pursuant to the T-Agmt, CRI and the existing shareholders of CHB affirmed that:

• the SH-Agreement should be terminated and ceased to have any force or effect with immediate effect from the date of the receipt of the Bursa Approval by CHB; and
• CRI and the existing shareholders of CHB should be irrevocably and unconditionally released and discharged from all covenants, undertakings and obligations whatsoever under the SH-Agreement, and no party thereto should have any claim or demand against any other party, arising out of or in connection with the SH-Agreement or termination hereto.

The T-Agmt is available for inspection at the registered office of the Company at No. 5-1, Jalan Radin Bagus 9, Bandar Baru Sri Petaling, 57000 Kuala Lumpur, Wilayah Persekutuan, Malaysia from Monday to Friday (except public holidays) during normal office hours for a period of 3 months from the date of this announcement.
