We refer to the announcements dated 14 July 2021, 30 July 2021, 30 September 2021, 7 October 2021, 22 October 2021, 27 December 2021, 10 January 2022 and 14 January 2022 in relation to, among others, the Rights Issue of Shares with Warrants (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce the following:

(a) The Board has, on 14 January 2022 (“Price-fixing Date”), resolved to fix the following:

(i) Issue price of Rights Shares at RM0.08 each (“Issue Price”) after taking into consideration, amongst others, the following:

(aa) funding requirements of the Group as set out in Section 6 of the circular to shareholders of Vizione dated 7 October 2021 (“Circular”)

(bb) the theoretical ex-all price (“TEAP”) of Vizione Share of RM0.08796 (computed based on the 5-day volume weighted average market price (“5D-VWAP”) of Vizione Share up to and including 13 January 2022, being the last trading day prior to the Price-fixing Date (“LTD”) of RM0.0999); and

(cc) rationale for the Rights Issue of Shares with Warrants as set out in Section 7.3 of the Circular.

The Issue Price of RM0.08 per Rights Share represents a discount of RM0.00796 or approximately 9.05% to the TEAP of Vizione Shares of RM0.08796; and

(ii) Exercise price of Warrants E at RM0.08 each (“Exercise Price”) after taking into consideration, amongst others, the following:

(aa) the Warrants E will be issued at no cost to the entitled shareholders and/ or their renouncee(s) who successfully subscribe for the Rights Shares; and

(bb) the TEAP of Vizione Share of RM0.08796 (computed based on the 5D-VWAP of Vizione Share up to and including the LTD of RM0.0999).

The Exercise Price of RM0.08 per Warrants E represents a discount of RM0.00796 or approximately 9.05% to the TEAP of Vizione Share of RM0.08796.

(b) Vizione had on 14 January 2022 executed a deed poll constituting the Warrants E (“Deed Poll E”). A copy of the Deed Poll E will be made available for inspection at the Registered Office at No. 2-1, Jalan Sri Hartamas 8, Sri Hartamas, 50480 Kuala Lumpur Wilayah Persekutuan (KL) of the Company.
