VIZIONE - Notice of Rights Entitlement (Ratio)

RENOUNCEABLE RIGHTS ISSUE OF UP TO 1,369,132,778 NEW ORDINARY SHARES IN VIZIONE ("VIZIONE SHARES" OR "SHARES") ("RIGHTS SHARES") ON THE BASIS OF 1 RIGHTS SHARE FOR EVERY 1 EXISTING SHARE HELD AS AT 5.00 P.M. ON 4 FEBRUARY 2022 (ENTITLEMENT DATE), AT AN ISSUE PRICE OF RM0.08 PER RIGHTS SHARE TOGETHER WITH UP TO 684,566,389 FREE DETACHABLE WARRANTS ("WARRANTS" OR "WARRANTS E") ON THE BASIS OF 1 WARRANT E FOR EVERY 2 RIGHTS SHARES SUBSCRIBED FOR ("RIGHTS ISSUE OF SHARES WITH WARRANTS")
 

Kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted “Ex-Rights Issue” as from: 03 Feb 2022
2)    The last date of lodgment : 04 Feb 2022
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct<1/2>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <1/2>, of the Transacted Price is applicable.

Remarks :
The abridged prospectus, together with the rights subscription form and the notice of provisional allotment relating to the Rights Issue of Shares with Warrants (collectively referred to as Documents) will only be despatched to the shareholders of the Company who have registered addresses in Malaysia and whose names appear in the Companys Record of Depositors as at the Entitlement Date (Entitled Shareholders). Entitled Shareholders who do not have a registered address in Malaysia and wish to provide their Malaysian address, should inform their respective stockbrokers or ShareWorks Sdn Bhd to effect the change of address by the Entitlement Date. 

The Documents are not intended to be (and will not be) issued, circulated or distributed in any countries or jurisdictions other than Malaysia. No action has or will be taken to ensure that the Rights Issue of Shares with Warrants and the Documents comply with the laws of any countries or jurisdictions other than the laws of Malaysia.

The Documents will be despatched to the Entitled Shareholders no later than 2 market days after the Entitlement Date.

Holders of Warrants 2017/2022 and Warrants 2020/2023 in the Company who wish to be entitled to the Rights Issue of Shares with Warrants as the Companys shareholders shall exercise their rights to subscribe for the new Vizione Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar of Vizione (at the address stated above) on or before 5.00 p.m. on Friday, 21 January 2022, such that their names will appear on the Record of Depositors of the Company at 5.00 p.m. on the Entitlement Date.
