Unless otherwise stated, all definitions and terms used in this announcement shall have the same meanings as defined in RMH’s announcements dated 8 February 2022.

Reference is made to the announcements dated 8 February 2022, 9 February 2022 and 11 February 2022 in relation to the Proposed Private Placement.

On behalf of the Board, PIVB wishes to announce that Bursa Securities had, vide its letter dated 14 February 2022, approved the listing and quotation of up to 28,120,300 Placement Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:

(a) RMH and PIVB must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;

(b) RMH and PIVB are required to inform Bursa Securities upon the completion of the Proposed Private Placement;

(c) RMH is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed;

(d) PIVB is required to furnish Bursa Securities with details of the placees in accordance with Paragraph 6.15 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the new shares to be issued pursuant to the Proposed Private Placement; and

(e) In the event the Proposed Private Placement is not completed before the next AGM, RMH is required to furnish a certified true copy of the resolution passed by RMH’s shareholders for a general mandate under Section 76 of the Act at RMH’s forthcoming AGM.
