We refer to the announcements dated 4 May 2021, 6 May 2021, 1 June 2021, 2 July 2021, 14 July 2021, 28 September 2021, 22 October 2021, 26 October 2021, 16 November 2021 and 31 January 2022 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein. On behalf of the Board, TA Securities wishes to announce on the following: (i) the Proposed Acquisition of MGSB from MMAG has been completed on 4 April 2022 upon the issuance and allotment of 180,157,290 Consideration Shares to MMAG, in accordance with the terms and conditions of the MGSB SSA-MMAG and Supplemental MGSB SSA-MMAG; and (ii) the Proposed Settlement has been completed on 4 April 2022 upon the issuance and allotment of 46,875,000 Settlement Shares to MMAG, in accordance with the terms and conditions of the Settlement Agreement. The Consideration Shares and Settlement Shares are expected to be listed on the ACE Market of Bursa Securities on 7 April 2022. This announcement is dated 5 April 2022. |
