On behalf of the Board of Directors of SMCAP ("Board"), UOB Kay Hian Securities (M) Sdn. Bhd. ("UOBKH") wishes to announce that the Company had, on 20 April 2022 entered into a conditional share sale agreement ("SSA") with F.C.H. Holdings Sdn. Bhd. ("FCH" or the "Purchaser") for the proposed disposal of 12,000,000 ordinary shares in SM Broilers Sdn. Bhd. ("SMBSB"), a wholly-owned subsidiary of SMCAP, for a disposal consideration of RM2,900,000 to be wholly satisfied in cash, on the terms and conditions contained in the SSA ("Proposed Disposal"). Further details of the Proposed Disposal are set out in the attachment enclosed.
