PMB TECHNOLOGY BERHAD ("PMBT" OR THE "COMPANY") ADJUSTMENT TO IRREDEEMABLE CONVERTIBLE UNSECURED LOAN STOCKS 2018/2023 OF PMBT ("ICULS 2018/2023") PURSUANT TO THE BONUS ISSUE OF UP TO 1,296,774,800 NEW ORDINARY SHARES IN PMBT ("PMBT SHARES") ("BONUS SHARES"), ON THE BASIS OF 4 BONUS SHARES FOR EVERY 1 EXISTING PMBT SHARE HELD BY THE ENTITLED SHAREHOLDERS AS AT 5.00 P.M. ON 28 APRIL 2022 ("ENTITLEMENT DATE") ("BONUS ISSUE")

Each ICULS 2018/2023 carries the entitlement to convert the ICULS 2018/2023 into new ordinary shares in PMBT at the revised conversion price of RM0.54 and at any time during the conversion period, subject to the adjustments in accordance with the terms and provisions of the trust deed dated 30 May 2018 governing the ICULS 2018/2023 ("Trust Deed"). Pursuant to the adjustment of ICULS 2018/2023, the existing conversion price of ICULS 2018/2023 will be revised from RM2.74 to RM0.54 each ("ICULS 2018/2023 Adjustment"). Any fractional entitlements arising from the ICULS 2018/2023 Adjustment and conversion of ICULS 2018/2023 are to be disregarded. The Company will not require to pay the value of such fractional entitlements to the holders of ICULS 2018/2023. In accordance with the terms and provisions of the Trust Deed, the ICULS 2018/2023 Adjustment will take effect on 29 April 2022, being the next market day following the Entitlement Date. The notice to the holders of ICULS 2018/2023 (setting out the details of the ICULS 2018/2023 Adjustment) will be despatched in due course. This announcement is dated 28 April 2022.
