The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Previous Proposals and Proposals.

We refer to the earlier announcements in relation to the Previous Proposals dated 30 August 2021 and 14 October 2021 and the earlier announcements in relation to the Proposals dated 29 March 2022 and 14 April 2022.

On behalf of the Board of Directors of GETS, UOB Kay Hian Securities (M) Sdn Bhd ("UOBKH") wishes to announce that Bursa Securities had, vide its letter dated 12 May 2022, resolved to approve the following:-

i. Listing and quotation of up to 102,708,314 new GETS Shares to be issued pursuant to the conversion of the Consideration ICPS in relation to the Proposed Acquisition; and

ii. Listing and quotation of such number of new GETS Shares, representing up to 10% of the total number of issued shares of GETS, to be issued pursuant to the Proposed ESOS.

The approval granted by Bursa Securities is subject to the following conditions:-

i. GETS and UOBKH must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals;

ii. GETS is required to furnish Bursa Securities with a certified true copy of the resolutions passed by the shareholders at the extraordinary general meeting approving the Proposals;

iii. GETS and UOBKH are required to inform Bursa Securities upon completion of the Proposals;

iv. GETS is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposals are completed;

v. GETS must comply with the public shareholdings spread requirements pursuant to Paragraph 8.02(1) of the Listing Requirements upon the listing and quotation of the new GETS Shares;

vi. GETS is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESOS pursuant to Paragraph 6.43(1) of the Listing Requirements and stating the effective date of implementation; and

vii. Payment of additional listing fees pertaining to the exercise of ESOS options, if relevant. In this respect, GETS is required to furnish Bursa Securities on a quarterly basis a summary of the total number of new shares listed pursuant to the exercise of ESOS options as at the end of each quarter together with a detailed computation of the listing fees payable.
