Pursuant to Paragraph 9.19(51) of Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of ViTrox wishes to announce that the Company has on 17 May 2022 (“Grant Date”) granted the following new ordinary shares in the Company (“ViTrox Shares“) (“SGS Shares”) to its eligible employees (“Grantees”) under the SGS in accordance with the SGS by-laws (“Grants”):-
(a) Under the SGS, no monetary consideration is required to be paid by the Grantees for the acceptance of the Grants and the subsequent vesting of the SGS Shares comprised in the Grants. The reference price per SGS Share is RM6.9255.
(b) Number of SGS Shares granted are 2,396,000 ViTrox Shares.
(c) Market price of ViTrox Shares at the close of the market on the Grant Date is RM7.25.
(d) Number of SGS Shares offered to each Director and the persons connected with them are as follows:-

(e) The vesting period of the Grants are from 5 May 2023 until 5 May 2026.
