We refer to the previous announcements and the circular to shareholders of Digistar dated 5 April 2022 in relation to the Proposals (“Circular”). Unless otherwise stated, the terms used herein shall have the same meaning as defined in the Circular.
On behalf of the Board, UOBKH wishes to announce that based on the issued share capital of Digistar with effect from 5.00 p.m. on 30 May 2022 (“Entitlement Date”), 1,048,916,802 Digistar Shares have been consolidated into 349,636,958 Consolidated Shares (after disregarding the fractional entitlements arising from the Share Consolidation) pursuant to the Share Consolidation.
Further, the existing number of 81,678,141 Warrants B and 260,384,403 Warrants C will be adjusted to 27,225,764 Consolidated Warrants B (after disregarding the fractional entitlements arising from the Share Consolidation) and 86,794,477 Consolidated Warrants C (after disregarding the fractional entitlements arising from the Share Consolidation) respectively, pursuant to the Share Consolidation.
The Consolidated Shares, Consolidated Warrants B and Consolidated Warrants C will be listed and quoted on the Main Market of Bursa Securities with effect from 9.00 a.m. on 31 May 2022, being the next market day immediately after the Entitlement Date.
