(COLLECTIVELY REFERRED TO AS "PROPOSALS")

On behalf of the Board of Directors of Impiana (“Board”), Kenanga Investment Bank Berhad (“Kenanga IB”) wishes to announce that the Company proposes to undertake the following:

 

  1. proposed consolidation of every 5 existing ordinary shares in Impiana (“Impiana Shares” or “Shares”) into 1 Impiana Share (“Consolidated Share(s)”) (“Proposed Share Consolidation”);
  2. proposed amendments to the constitution of Impiana (“Constitution”) (“Proposed Amendments”); and
  3. proposed issuance of redeemable convertible notes (“Notes”) with an aggregate principal amount of up to RM150.00 million, which will mature on the date falling 36 months from the closing date of the first sub-tranche of the Tranche 1 Notes (“Proposed Notes Issue”).
