This announcement is dated 14 June 2022.
Reference is made to the Company’s earlier announcements dated 18 March 2022 and 25 April 2022 in relation to the Proposals (“Earlier Announcements”). Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the Earlier Announcements.
On behalf of the Board, Malacca Securities wishes to announce that Bursa Securities had vide its letter dated 14 June 2022, resolved to approve the listing and quotation of 381,538,461 Consideration Shares to be issued pursuant to the Proposed Acquisition, subject to the following conditions:-
(i) Eastland and Malacca Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Acquisition;
(ii) Eastland is required to furnish Bursa Securities with a certified true copy of the resolutions passed by its shareholders at a general meeting for the Proposals;
(iii) Eastland and Malacca Securities are required to inform Bursa Securities upon completion of the Proposed Acquisition; and
(iv) Eastland is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Acquisition is completed.
