We refer to the announcement dated 9 May 2022. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcement.
The Board wishes to announce that in accordance with the terms and conditions of the Agreement, the Proposed Acquisition has been completed today following payment of the Purchase Consideration by JF TestSense to Ikeda Technology and the delivery of the completion documents as specified in the Agreement by the respective parties.
For the shareholders’ information, following the completion of the Proposed Acquisition:
(i) the intellectual property, know-how and technology used in connection with the Business have been transferred to JF TestSense;
(ii) JF TestSense has started carrying on the Business;
(iii) JF TestSense has engaged the Key Personnel as its test interface product manager; and
(iv) Ikeda Technology will wholly discontinue carrying on the Business.
