(Unless otherwise defined, defined terms used in this announcement shall carry the same meanings as defined in the announcement dated 14 June 2022 and 17 June 2022 in relation to the Proposed Private Placement ("Announcements"))

We refer to the Announcements.

On behalf of the Board, MIDF Investment wishes to announce that Bursa Securities has, vide its letter dated 30 June 2022, resolved to approve the listing and quotation of up to 142,627,665 Placement Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:

1. Jentayu Sustainables and MIDF Investment must fully comply with the relevant provisions under the Main Market Listing Requirements (“LR”) pertaining to the implementation of the Proposed Private Placement;

2. Jentayu Sustainables and MIDF Investment are required to inform Bursa Securities upon completion of the Proposed Private Placement;

3. Jentayu Sustainables / MIDF Investment is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders in general meeting approving the Proposed Private Placement prior to the listing and quotation of the Placement Shares;

4. Jentayu Sustainables and MIDF Investment are required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and

5. MIDF Investment is required to submit to Bursa Securities with details of the placees in accordance with Paragraph 6.15 of the LR as soon as practicable after each tranche of placement and prior to the listing and quotation of the Placement Shares.
