We refer to the announcements dated 28 June 2022, 29 June 2022, 4 July 2022 and 7 July 2022 in relation to the Proposed Private Placement (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of HB Global, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 8 July 2022, approved the listing of and quotation for up to 77,001,000 Placement Shares to be issued pursuant to the Proposed Private Placement. The approval by Bursa Securities for the listing of the Placement Shares is subject to the following conditions:

(i)  HB Global and TA Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;

(ii)  HB Global and TA Securities are required to inform Bursa Securities upon completion of the Proposed Private Placement;

(iii)  TA Securities is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and

(iv)  TA Securities is required to furnish Bursa Securities with details of the placees in accordance with paragraph 6.15 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the new shares to be issued pursuant to the Proposed Private Placement.
