On behalf of the Board of Directors of Saudee (“Board”), TA Securities Holdings Berhad (“TA Securities”) wishes to announce that the Company proposes to undertake the following:
(i) proposed private placement of up to 347,000,000 new ordinary shares in Saudee, representing up to 35% of the total number of issued ordinary shares of Saudee to independent third-party investors to be identified later and at an issue price to be determined later (“Proposed Private Placement”); and
(ii) proposed establishment of a share issuance scheme of up to 15% of the total number of issued ordinary shares of Saudee (excluding treasury shares, if any) to the eligible directors and eligible employees of Saudee and its subsidiaries (“Proposed SIS”).
