The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcement in relation to the Proposed Disposal.

We refer to the earlier announcement dated 20 April 2022.

The Board of Directors of SMCAP wishes to announce that all the conditions precedent under the SSA have been fulfilled, and with the full receipt of payment as well as having the Sale Shares vested in favour of the Purchaser, the Proposed Disposal was deemed completed on 30 September 2022.
