SPSETIA-PA - Notice of Book Closure

Adjustment to the Conversion Ratio of the RCPS-i A (as defined herein) in accordance with Clause 12(k) of the Constitution of S P Setia Berhad ("S P Setia") as a result of the renounceable rights issue of up to 3,069,191,630 new Class C Islamic redeemable convertible preference shares in S P Setia ("RCPS-i C") at an issue price of RM0.38 per RCPS-i C on the basis of 67 RCPS-i C for every 100 existing ordinary shares in S P Setia ("Shares") held as at 5:00 p.m. on 2 November 2022 ("Rights Issue") ("Adjustment")

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 01 Nov 2022
2)  The last date of lodgment : 02 Nov 2022
 

Remarks:- 

S P Setia has announced that the entitlement date for the Rights Issue has been fixed at 5:00 p.m. on 2 November 2022 ("Entitlement Date").

Holders of the existing Islamic redeemable convertible preference shares in S P Setia issued on 2 December 2016 ("RCPS-i A") ("RCPS-i A Holders") who wish to be entitled to the Rights Issue should lodge their duly completed conversion forms with the Share Registrar on or before 5:00 p.m. on 19 October 2022. This is to enable the new Shares arising from such conversions be allotted to the respective RCPS-i A Holders such that their names will appear on the Record of Depositors of

S P Setia by the Entitlement Date.

 Nevertheless, the RCPS-i A Holders whose names appear in the Record of Depositors of RCPS-i A on the Entitlement Date shall be entitled to the Adjustment. The Conversion Ratio after the Adjustment will be announced and the notice setting out the Adjustment will be despatched to the RCPS-i A Holders in due course. The effective date of the Adjustment is on Thursday, 3 November 2022, being the next market day following the Entitlement Date.
