(Unless otherwise stated, all abbreviations and definitions used herein shall have the same meaning as those defined in the announcement dated 14 October 2022 in relation to the Bonus Issue of Warrants)

On behalf of the Board, M & A Securities Sdn Bhd (“M&A Securities”) is pleased to announce that Bursa Securities had vide its letter dated 14 November 2022, resolved to approve the following:

1. Admission to the Official List of Bursa Securities and the listing of and quotation for up to 105,567,870 Warrants B to be issued pursuant to the Bonus Issue of Warrants; and

2. Listing of and quotation for up to 105,567,870 new REVENUE Shares to be issued arising from exercise of the Warrants B.

The approval granted by Bursa Securities for the Bonus Issue of Warrants is subject to the following conditions:

1. REVENUE and M&A Securities must fully comply with the relevant provisions under the Listing Requirements of Bursa Securities pertaining to the implementation of the Bonus Issue of Warrants.

2. REVENUE and M&A Securities to inform Bursa Securities upon the completion of Bonus Issue of Warrants.

3. REVENUE to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Bonus Issue of Warrants is completed.

4. REVENUE to furnish Bursa Securities on a quarterly basis a summary of the total number of Shares listed pursuant to the exercise of Warrants B as at the end of each quarter together with a detailed computation of listing fees payable.

REVENUE is required to ensure full compliance of all the requirements as provided under the Listing Requirements at all times.
