ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2014/2024 IN BTM RESOURCES BERHAD ("BTM") AS CONSTITUTED BY THE DEED POLL DATED 12 SEPTEMBER 2014 ("DEED POLL B") ("WARRANTS-B") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 1,183,929,204 NEW ORDINARY SHARES IN BTM ("BTM SHARES" OR "SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.08 PER RIGHTS SHARE TOGETHER WITH UP TO 394,643,068 FREE DETACHABLE WARRANTS IN BTM ("WARRANTS-C") ON THE BASIS OF 6 RIGHTS SHARES FOR EVERY 1 EXISTING BTM SHARE TOGETHER WITH 1 WARRANT-C FOR EVERY 3 RIGHTS SHARES SUBSCRIBED FOR, AT 5.00 P.M. ON THURSDAY, 15 DECEMBER 2022 ("RIGHTS ISSUE WITH WARRANTS-C")
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 14 Dec 2022
2)  The last date of lodgment : 15 Dec 2022
 

Remarks:

The Notice of Book Closure in relation to the Rights Issue with Warrants-C had been announced separately on 30 November 2022.

The final adjusted exercise price and final number of additional Warrants-B to be issued consequential to the Rights Issue with Warrants-C will be effected in accordance with the provisions of the Deed Poll B to the entitled Warrants-B holders whose names appear in the Record of Depositor as at 5.00 p.m. on Thursday, 15 December 2022. The entitlement ratio illustrated above is indicative only and is subject to final adjustments.

The final number of additional Warrants-B to be issued and allotted will depend on the number of outstanding Warrants-B which have yet to be exercised as at the Entitlement Date and the level of subscription under the Rights Issue with Warrants-C. The notice to Warrants-B holders setting out the details of the adjustments and the notice of allotment of the additional Warrants-B will be despatched in due course. 

The additional Warrants-B will be listed and quoted simultaneously with the Rights Shares and Warrants-C on the Main Market of Bursa Securities.
