We refer to the announcements made on 3 June 2022, 12 July 2022, 8 August 2022, 5 October 2022 and 7 November 2022 in relation to the Proposals (“Announcements”). Unless otherwise stated, all abbreviations used in this announcement shall have the same meaning as defined in the Announcements.

On behalf of the Board, Mercury Securities wishes to announce that Bursa Securities has, vide its letter dated 11 January 2023, resolved to approve the listing of and quotation for the Consideration Shares and Conversion Shares to be issued pursuant to the Proposed Acquisition and Proposed RCPS Issuance, respectively, subject to the following conditions:

(i) AHB and Mercury Securities, being the adviser for the Proposed Acquisition and Proposed RCPS Issuance, must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposed Acquisition and Proposed RCPS Issuance;

(ii) AHB/ Mercury Securities is required to furnish Bursa Securities with a certified true copy of the resolutions passed by its shareholders at a general meeting approving the Proposals prior to the listing and quotation of the Consideration Shares and/or Conversion Shares;

(iii) AHB and Mercury Securities are required to inform Bursa Securities upon completion of the Proposed Acquisition and Proposed RCPS Issuance;

(iv) AHB and Mercury Securities are required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Acquisition and Proposed RCPS Issuance are completed; and

(v) AHB is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the conversion of the RCPS at the end of each quarter together with a detailed computation of listing fees payable.
