BSLCORP - Notice of Rights Entitlement (Ratio)

RENOUNCEABLE RIGHTS ISSUE OF UP TO 2,354,494,986 NEW ORDINARY SHARES IN BSL CORPORATION BERHAD ("BSLCORP" OR "COMPANY") ("BSLCORP SHARES" OR "SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.055 PER RIGHTS SHARE TOGETHER WITH UP TO 981,039,577 FREE DETACHABLE WARRANTS IN THE COMPANY ("WARRANTS B") ON THE BASIS OF 12 RIGHTS SHARES TOGETHER WITH 5 FREE WARRANTS B FOR EVERY 2 EXISTING SHARES HELD BY THE ENTITLED SHAREHOLDERS OF THE COMPANY AT 5.00 P.M. ON 8 FEBRUARY 2023 ("RIGHTS ISSUE WITH WARRANTS")
 

Kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted “Ex-Rights Issue” as from: 07 Feb 2023
2)    The last date of lodgment : 08 Feb 2023
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct <6/7>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <6/7>, of the Transacted Price is applicable.

Remarks :

The Abridged Prospectus together with the notice of provisional allotment and rights subscription form pursuant to the Rights Issue with Warrants (collectively, the "Documents") will only be despatched to the shareholders of the Company whose names appear in the Company's Record of Depositors as at 5.00 p.m. on 8 February 2023 ("Entitled Shareholders") and who have a registered address in Malaysia or who have provided the Share Registrar, ShareWorks Sdn Bhd, with a registered address in Malaysia in writing by 5.00 p.m. on 8 February 2023.

The Documents are not intended to (and will not be made to) comply with the laws of any country or jurisdiction other than Malaysia, and are not intended to be (and will not be) issued, circulated or distributed in countries or jurisdictions other than Malaysia and no action has been or will be taken to ensure that the Rights Issue with Warrants complies with the laws of any country or jurisdiction other than the laws of Malaysia.

Entitled Shareholders who do not have a registered address in Malaysia for the service of documents and wish to provide a Malaysian address, should inform their respective stockbrokers to effect the change of address by 5.00 p.m. on 8 February 2023.

Holders of Warrants A who wish to be entitled to the Rights Shares with Warrants B must exercise their Warrants A into new Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar, ShareWorks Sdn Bhd, on or before 5.00 p.m. on 30 January 2023. This is to enable the new Shares arising from such exercise to be allotted to the respective holders of the Warrants A such that their names will appear on the Record of Depositors of the Company by 5.00 p.m. on 8 February 2023.
