Unless otherwise stated, all definitions and terms used in this announcement shall have the same meanings as defined in the previous announcement. 

Reference is made to TXB's announcement dated 29 November 2022 in relation to the Proposals (“Announcement”). 

The utilisation purpose of the loan obtained for the repayment of the outstanding purchase consideration payable to the vendor of MBits Digital Sdn. Bhd., which was subject to the proposed debt settlement, has now been modified. This loan will no longer be settled via the debt settlement as a result of certain conflicts arising between the Company and the investee and the Company is in the process of seeking remedies including divesting of the investment in order to pay down the loan instead. 

Instead, the loan to be subject to the debt settlement is for prior advances made for the partial payment to the vendors - Touchpoint International Sdn. Bhd., Wavetree PLT and Techna Analytics Sdn. Bhd. 

Notwithstanding the above, there are no changes to the Proposed Debt Settlement.

In view of the above, we wish to rectify the Announcement as follows: -

Section 2.1.1(i), Note (1) of the Announcement should be read as follows: -
Partial repayment of the outstanding purchase consideration payable to the vendors of Touchpoint International Sdn. Bhd., Wavetree PLT and Techna Analytics Sdn. Bhd.

Section 2.1.1(ii), Note (1) of the Announcement should be read as follows: -
Partial repayment of the outstanding purchase consideration payable to the vendors of Touchpoint International Sdn. Bhd. and Wavetree PLT
