We refer to the announcements dated 20 December 2022 and 23 December 2022 in relation to the Proposed Private Placement. Unless otherwise defined, the definitions set out in the previous announcements shall apply herein.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities has, vide its letter dated 30 January 2023, resolved to approve the listing of and quotation for up to new 292,884,436 ordinary shares in JAKS to be issued pursuant to the Proposed Private Placement subject to the following:-

1. UOBKH and JAKS must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Private Placement;
2. UOBKH to furnish Bursa Securities with the certified true copy of the resolutions passed by the shareholders at extraordinary general meeting approving the Proposed Private Placement;
3. UOBKH to inform Bursa Securities upon the completion of the Proposed Private Placement;
4. UOBKH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and
5. Payment of additional listing fee, if any, based on the final issue price together with a copy of the details of the computation of the amount of listing fees payable.
