Reference is made to the Company’s announcements dated 14 December 2022 in relation to the Proposed Internal Reorganisation (“Announcements”). Unless otherwise defined, the definitions used in this announcement shall have the same meaning as previously defined in the Announcements.
On behalf of TM, CIMB Investment Bank Berhad wishes to announce that the High Court has, at today’s hearing, granted a vesting order approving the scheme of arrangement and amalgamation between the Transferors and the Transferee under the Act (“Vesting Order”). Pursuant to the Vesting Order, the High Court has approved, inter alia, the following:
(a) the transfer and vesting of the Identified Assets and Liabilities from the Transferors to the Transferee according to the terms of the Merger Agreement, with effect on and from 1 March 2023; and
(b) the dissolution of the Selected Transferors according to the terms of the Merger Agreement, with effect on and from 31 December 2023.
