ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2019 / 2024 OF EDUSPEC HOLDINGS BERHAD ("EDUSPEC" OR THE "COMPANY") ("WARRANTS B") IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 6 SEPTEMBER 2019 CONSTITUTING THE WARRANTS B ("DEED POLL B") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 996,517,704 NEW ORDINARY SHARES IN EDUSPEC ("EDUSPEC SHARES" OR "SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.03 PER RIGHTS SHARE TOGETHER WITH UP TO 498,258,852 FREE DETACHABLE WARRANTS IN THE COMPANY ("WARRANTS C") ON THE BASIS OF 6 RIGHTS SHARES TOGETHER WITH 3 FREE WARRANTS C FOR EVERY 1 EXISTING SHARE HELD BY THE ENTITLED SHAREHOLDERS OF THE COMPANY AT 5.00 P.M. ON 7 APRIL 2023 ("RIGHTS ISSUE WITH WARRANTS") ("ADJUSTMENTS")

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 06 Apr 2023
2)  The last date of lodgment : 07 Apr 2023
 

Remarks :

The Notice of Book Closure in relation to the Rights Issue with Warrants had been announced by the Company separately today.

Holders of outstanding Warrants B ("Warrant B Holders") who wish to be entitled to the Rights Shares with Warrants C should exercise their Warrants B by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar, Tricor Investor & Issuing House Services Sdn Bhd, on or before 5.00 p.m. on 28 March 2023. This is to enable the new Shares arising from such exercise to be allotted to the respective Warrant B Holders such that their names will appear on the Record of Depositors of the Company by 5.00 p.m. on 7 April 2023.

The Warrant B Holders who have not exercised their outstanding Warrants B by 5.00 p.m. on 28 March 2023 and whose names appear in the Record of Depositors for the outstanding Warrants B as at 5.00 p.m. on 7 April 2023 would be entitled to the Adjustments.

The entitlement ratio indicated above is for illustration only based on the Base Case Scenario as set out in the circular to shareholders of the Company in relation to, amongst others, the Rights Issue with Warrants dated 15 February 2023. The actual number of additional Warrants B to be issued and the adjusted exercise price of the Warrants B pursuant to the Adjustments shall be finalised at a later date prior to the listing and quotation of the Rights Shares with Warrants C.

The additional Warrants B will be listed and quoted simultaneously with the Rights Shares and Warrants C. The notice to Warrant B Holders (setting out details of the Adjustments) and the notice of allotment for the additional Warrants A will be despatched in due course.
