ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2021/2024 IN KOMARKCORP BERHAD ("KOMARKCORP") AS CONSTITUTED BY THE DEED POLL DATED 6 JANUARY 2021 ("DEED POLL C") ("WARRANTS C") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 817,817,238 NEW ORDINARY SHARES IN KOMARKCORP ("KOMARKCORP SHARES" OR "SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.08 PER RIGHTS SHARE TOGETHER WITH UP TO 272,605,746 FREE DETACHABLE WARRANTS IN KOMARKCORP ("WARRANTS D") ON THE BASIS OF 3 RIGHTS SHARES TOGETHER WITH 1 FREE WARRANT D FOR EVERY 3 EXISTING SHARES HELD BY THE ENTITLED SHAREHOLDERS OF KOMARKCORP AT 5.00 P.M. ON 29 MAY 2023 ("RIGHTS ISSUE WITH WARRANTS")

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 26 May 2023
2)  The last date of lodgment : 29 May 2023
 

Remarks:

The Notice of Book Closure in relation to the Rights Issue with Warrants had been announced by the Company separately today.

Pursuant to the Rights Issue with Warrants, the exercise price and number of outstanding Warrants C (which are not exercised into new Komarkcorp Shares prior to the Entitlement Date) shall be adjusted in accordance with the provisions of the Deed Poll C ("Adjustments").

Holders of Warrants C who wish to be entitled to the Rights Issue with Warrants as the Company's shareholders shall exercise their rights to subscribe for new Komarkcorp Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar of Komarkcorp (at the address stated above) on or before 5.00 p.m. on 17 May 2023 such that their names will appear on the Record of Depositors of the Company at 5.00 p.m. on 29 May 2023.

Entitled holders of Warrants C who have not exercised their outstanding Warrants into Komarkcorp Shares and whose names appear in the Record of Depositors of the Company for the outstanding Warrants C at 5.00 p.m. on 29 May 2023 would be entitled to the Adjustments ("Entitled Warrants C Holders").

The entitlement ratio indicated above is for illustration only based on the latest issued share capital of the Company and assuming all entitled shareholders subscribe for their respective entitlements under the Rights Issue with Warrants (under the Base Case Scenario set out in the circular to shareholders dated 23 November 2021). The actual number of additional Warrants C to be issued and the adjusted exercise price of Warrants C pursuant to the Adjustments shall be finalised at a later date prior to the listing and quotation of the additional Warrants C on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities").

The additional Warrants C will be listed and quoted simultaneously with the Rights Shares and Warrants D on the Main Market of Bursa Securities. The notice setting out the details of the Adjustments will be issued and despatched to the Entitled Warrants C Holders in due course.
