CLASSITA - Notice of Rights Entitlement (Ratio)

RENOUNCEABLE RIGHTS ISSUE OF UP TO 965,398,515 NEW ORDINARY SHARES IN CLASSITA HOLDINGS BERHAD (FORMERLY KNOWN AS CAELY HOLDINGS BHD) ("CLASSITA") ("CLASSITA SHARES" OR "SHARES") ("RIGHTS SHARES") ON THE BASIS OF 5 RIGHTS SHARES FOR EVERY 2 EXISTING SHARES HELD BY THE ENTITLED SHAREHOLDERS OF CLASSITA AS AT 5.00 P.M. ON 31 MAY 2023, TOGETHER WITH UP TO 579,239,109 FREE DETACHABLE WARRANTS ("WARRANTS C") ON THE BASIS OF 3 WARRANTS C FOR EVERY 5 RIGHTS SHARES SUBSCRIBED FOR, AT AN ISSUE PRICE OF RM0.10 PER RIGHTS SHARE ("RIGHTS ISSUE")
 

Kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted “Ex-Rights Issue” as from: 30 May 2023
2)    The last date of lodgment : 31 May 2023
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned :

       a)    Selling Broker to deduct <5/7>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <5/7>, of the Transacted Price is applicable.

Remarks :

The Abridged Prospectus together with the notice of provisional allotment and rights subscription form pursuant to the Rights Issue (collectively, the "Documents") will only be despatched to the shareholders of Classita whose names appear in Classita's Record of Depositors as at 5.00 p.m. on 31 May 2023 ("Entitlement Date") ("Entitled Shareholders") and who have a registered address in Malaysia or who have provided the Share Registrar, Symphony Corporate Services Sdn Bhd, with a registered address in Malaysia in writing by 5.00 p.m. on 31 May 2023.

The Documents are not intended to (and will not be made to) comply with the laws of any country or jurisdiction other than Malaysia, and are not intended to be (and will not be) issued, circulated or distributed in countries or jurisdictions other than Malaysia and no action has been or will be taken to ensure that the Rights Issue complies with the laws of any country or jurisdiction other than the laws of Malaysia.

Entitled Shareholders who do not have a registered address in Malaysia for the service of documents and wish to provide a Malaysian address, should inform their respective stockbrokers and the Share Registrar, Symphony Corporate Services Sdn Bhd, to effect the change of address by 5.00 p.m. on the Entitlement Date.

Holders of Warrants B who wish to be entitled to the Rights Shares with Warrants C must exercise their Warrants B into new Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar, Symphony Corporate Services Sdn Bhd, on or before 5.00 p.m. on 19 May 2023. This is to enable the new Shares arising from such exercise to be allotted to the respective holders of the Warrants B such that their name will appear on the Record of Depositors of Classita by 5.00 p.m. on 31 May 2023.
