We refer to the announcements dated 13 August 2019 in relation to the Subscription. Unless otherwise defined, the definitions set out in the announcement dated 13 August 2019 shall apply herein.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 15 August 2019, approved the listing of and quotation for 94,170,040 Subscription Shares to be issued pursuant to the Subscription, subject to the following conditions:-

(i)         JADI and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Subscription;

(ii)        JADI and UOBKH to inform Bursa Securities upon the completion of the Subscription; and

(iii)       UOBKH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Subscription is completed.

UOBKH wishes to announce that all the conditions precedent as set out in the Subscription Agreement have been satisfied in accordance with the terms of the Subscription Agreement. Accordingly, the Subscription Agreement in relation to the Subscription has become unconditional.
