Unless otherwise defined, the definitions set out in the announcement dated 17 May 2023 shall apply herein.

On behalf of the Board, M&A Securities wishes to announce that Bursa Securities had via its letter dated 30 May 2023 approved the listing of and quotation for such number of new SNS Shares, representing up to 15.0% of the Company’s total number of issued shares (excluding treasury shares, if any), to be issued pursuant to the Proposed ESOS, subject to the following conditions:

1. M&A Securities is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESOS pursuant to Rule 6.44(1) of the Listing Requirements and stating the effective date of implementation;

2. M&A Securities is required to submit a certified true copy of the resolution passed by the shareholders in the EGM approving the Proposed ESOS; and

3. SNS is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the Proposed ESOS, as at the end of each quarter together with a detailed computation of listing fees payable.

SNS is required to ensure full compliance of all the requirements as provided under the Listing Requirements at all times.
