(Reference is made to the announcements dated 21 July 2023, 25 July 2023, 3 August 2023 and 28 August 2023 in relation to the Secondary Listing and the proposed amendments to the Constitution of TSH (“Amendments”), as well as the document dated 4 August 2023 which comprises Part A: Circular to shareholders in relation to the Amendments and Notice of Extraordinary General Meeting, and Part B: Information Circular to shareholders in relation to the Secondary Listing (“Document”). Unless otherwise stated, words and phrases used in this announcement shall have the same meaning as defined in the Document.)

On behalf of the Board, HLIB wishes to announce that the Company had, on 18 September 2023, received a letter from the SGX-ST in relation to its conditional eligibility-to-list on the Main Board of the SGX-ST (“ETL”).

The ETL is subject to, amongst others, the following conditions:

a. Compliance with the SGX-ST’s listing requirements;

b. The Company maintaining its primary listing on Bursa Malaysia Securities Berhad (“Bursa Securities” or the “home exchange”);

c. Pre-quotation disclosure of information required by the SGX-ST (which will be conveyed to the Company prior to issuance of the Introductory Document (as defined herein));

d. Submission of the following documents:

(i)   A written confirmation from the Company that the Company’s memorandum and articles of association (incorporating all amendments made to date) has been filed with its home exchange;

(ii)  A written undertaking from the Company that it will comply with the following requirements as set out in Rule 217 of the Listing Manual of the SGX-ST (“Listing Manual”)

          (1)      release all information and documents in English to SGX-ST at the same time as they are released to the home exchange;

          (2)      inform SGX-ST of any issue of additional securities in a class already listed on SGX-ST and the decision of the home exchange; and

          (3)      comply with such other listing rules as may be applied by SGX-ST from time to time (whether before or after listing);

(iii) A written undertaking from the Company that in the event of a need for a trading halt or suspension in the Company’s Shares, the Company would request for a trading halt or suspension on all exchanges at the same time;

(iv) A written undertaking from the Company that it will ensure the appointment of a market maker for a minimum of 6 months from the date of the Secondary Listing;

(v)  A written confirmation from the Issue Manager (“IM”) that adequate disclosure have been made on (i) the major differences between the laws of Malaysia and Singapore on investor protection; and (ii) key continuing listing requirements of the home exchange and the Singapore Exchange;

(vi) Written confirmation from the IM and the Company that arrangements satisfactory to SGX-ST are in place to ensure:

          (1) Orderly trading in the market when trading begins in the Company’s Shares in Singapore; and

          (2) Timely settlement of trades, including but not limited to, procedures for the deposit, withdrawal and registration of the Company’s Shares in Singapore;

(vii) A written confirmation from the IM that Rules 246(4) and 246(12) of the Listing Manual have been complied with;

(viii) Documents stipulated in Rule 248 (before the date of issue of the Introductory Document (as defined herein)), Rule 249 (after the issue of the Introductory Document (as defined herein)) and Rule 250 (by 4.30 pm on the day before trading commences) of the Listing Manual; and

An announcement on the Singapore Exchange Network disclosing the latest share price of the Company on the home exchange and the SGD-equivalent prior to listing of the Company on the SGX-ST.

As disclosed in the Document, an introductory document containing details of the Secondary Listing will also be registered with the SGX-ST and issued in Singapore (“Introductory Document”) prior to the Secondary Listing. The Introductory Document will not be issued in Malaysia.

An announcement will be released after the issuance of the Introductory Document in Singapore.
