Reference is made to the announcements by AmInvestment Bank Berhad (“AmInvestment Bank”) on behalf of Adventa in relation to the Proposed E-Beam Disposal dated 28 May 2019, 2 July 2019, 18 July 2019 (“Earlier Announcements”) and the circular to the shareholders of Adventa in relation to the Proposed E-Beam Disposal dated 3 July 2019. (“Circular”). Unless otherwise stated, the abbreviations and definitions used throughout this announcement shall have the same meaning as those previously defined in the Earlier Announcements and Circular.
On behalf of Adventa, AmInvestment Bank wishes to announce that all the Conditions Precedent in the SSA have been fulfilled and the SSA has become unconditional. Both Adventa and the Buyer have agreed that the Completion of the Proposed E-Beam Disposal will take place today. Accordingly, E-Beam ceased to be a subsidiary of the Adventa Group. |
