The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements and the Circular dated 7 February 2024 in relation to the Regularisation Plan.

We refer to the earlier announcements dated 5 July 2023, 14 July 2023 and 30 January 2024 in relation to the Regularisation Plan.

On behalf of the Board, UOBKH wishes to announce that the Regalia SSA in relation to the Regalia Acquisition has become unconditional on 22 February 2024 upon fulfilment of all the conditions precedent set out in the Regalia SSA.

Further, the Board had on 22 February 2024 resolved to fix the issue price of the Private Placement at RM0.193 per Placement Share.

The issue price of RM0.193 per Placement Share represents a discount of approximately 9.86% to the 5-day VWAP of Efficient Shares up to and including 21 February 2024, being the last traded day of Efficient Shares immediately preceding the price-fixing date of RM0.2141 per Efficient Share.
